Jason Klein is a corporate and M&A attorney with over 16 years of legal experience. He has dedicated the bulk of his career to helping clients buy, sell, and grow businesses, and has closed transactions with an aggregate deal value exceeding $150 million. His clients have included founders, private equity sponsors, family offices, and established companies across a range of industries.
Jason's practice spans the full lifecycle of a business, from formation and early-stage capital raises through growth, strategic transactions, and exit. His transactional work includes mergers and acquisitions, asset purchases, joint ventures, loan transactions, and complex multi-party deals. He also advises clients on corporate governance, equity compensation, commercial contracts, and day-to-day legal matters that arise in running a business. Jason has developed particular strength in regulatory advisory work, including liaising directly with state and local regulators on behalf of clients navigating complex and evolving compliance landscapes. He brings particular depth in highly regulated industries, including cannabis, where he has guided clients through licensing, capital formation, operational buildout, and strategic exits.
Jason founded his solo practice after building his career across both large and boutique law firm environments—a combination that has shaped his approach to client service. He knows how to handle complex, high-stakes matters with the rigor they demand, while remaining accessible, responsive, and cost-conscious. His earlier years of practice touched on immigration, real estate, foreclosures, and litigation, giving him a broader foundation and sharper instincts than most transactional lawyers bring to the table.
Jason prides himself on being a practical advisor who understands that legal work exists to serve business goals, not the other way around. He works closely with clients to understand their objectives and find the clearest path to getting deals done.
Jason holds a J.D. (cum laude) and a Master of Public Affairs from Indiana University Bloomington, where he graduated in 2009. He also earned a B.S. in Physics and Mathematics from IU in 2002. He holds licenses to practice law in Maryland, Washington DC, and Michigan.
